TERMS AND CONDITIONS OF SALE

These terms and conditions govern the sale of services provided by Matum Consulting - SMC LTD, a reputable enterprise systems solutions and consulting firm based in Uganda.

1. Client Acceptance: By placing an order with Matum Consulting - SMC LTD ("Matum Consulting"), the client explicitly agrees to these terms and conditions, superseding any conflicting terms. Any deviations from these terms must be mutually agreed upon in writing prior to service commencement. The client's standard terms and conditions shall not apply.

2. Payment Terms: Invoices are payable within 21 working days, unless otherwise specified on the invoice or order. "Working days" refer to business days excluding weekends and public holidays in Uganda. Late payments will incur a fixed 10% interest charge on the outstanding amount. Matum Consulting reserves the right to suspend services without notice for late payments. Continued late payment may result in contract termination and additional legal actions.

3. Debt Collection: In the event that payment remains outstanding 90 days after the due date, Matum Consulting may engage a reputable debt collection agency. All associated legal fees will be borne by the client. Prior to involving a debt collection agency, Matum Consulting will issue reminders and a final notice to the client.

4. Service Delivery: Matum Consulting strives to deliver high-quality services within agreed timeframes. "High-quality services" refer to services that meet the specifications and standards agreed upon in the contract. "Agreed timeframes" are those specified in the project plan or contract. However, it is important to note that our obligations are based on reasonable effort and do not guarantee specific results. In the event of service delays, Matum Consulting will promptly inform the client and provide a revised delivery schedule. Matum Consulting shall not be obligated to act as a third party in any client claims filed by end consumers.

5. Claim Notification: For any claim against Matum Consulting to be considered valid, it must be submitted in writing via registered mail to our registered office within 8 days of service delivery. A "claim" refers to any request for corrective action, compensation, or other remedy due to perceived deficiencies in our services. Upon receipt of a claim, Matum Consulting will diligently review and respond within a reasonable timeframe. The process for resolution shall be as follows:

  1. Acknowledgment of the claim within 5 working days.
  2. Thorough investigation and assessment of the claim.
  3. Provision of a resolution proposal or rejection of the claim, accompanied by clear reasons, within 21 working days.

6. Governing Law and Dispute Resolution: All contractual relationships between Matum Consulting and the client shall be governed by the laws of the Republic of Uganda. In the event of any disputes arising from or in connection with these terms and conditions, the parties agree to make genuine efforts to resolve the dispute through negotiation in good faith. If a resolution cannot be reached amicably, the dispute shall be referred to mediation. If mediation fails, the dispute shall be finally resolved by the competent courts of Uganda.

Note: These terms and conditions are specific to Matum Consulting - SMC LTD, a reputable Ugandan company and fully comply with Ugandan law.
